Zvani Terms of Service
Zvani (“we”, “our”, “us”) is an AI voice and messaging platform owned and operated by QBRAIN TECHNOLOGIES LLP, a registered Limited Liability Partnership (LLP) in India. You may contact us at support@zvaniai.com.

1. Terms
1.1 These Terms of Service (“Terms”) govern your use of the Zvani website, dashboard, APIs, and services (collectively, “Zvani” or the “Service”).
1.2 By creating an account, accessing the dashboard, or sending traffic through Zvani, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, you must stop using Zvani immediately.

2. Accounts and Services
2.1 Zvani is a business-to-business platform. You must create an account, identify the organization you represent, and provide accurate billing information to access most features, including voice agents, phone-number provisioning, WhatsApp Business connections, and integrations.
2.2 You must be at least 18 years old and authorized to bind your organization to these Terms.
2.3 You are responsible for the security of your account credentials and for all activity that occurs under your organization’s account, including activity by your team members and integrations you authorize.
2.4 Zvani may suspend or terminate accounts that violate these Terms, abuse the Service, or pose risk to other customers, end users, or our infrastructure.
2.5 Zvani aims to provide reliable Services but does not guarantee uninterrupted availability. Functionality that depends on third-party platforms (Twilio, Meta WhatsApp Business, SIP carriers, voice / language model providers, calendar / CRM integrations) may be subject to those providers’ separate terms, rate limits, and outages.
3. Subscriptions, Usage, and Billing
3.1 Zvani is offered through subscription plans and/or usage-based pricing (per minute, per call, per conversation, or per message). Active plan limits, fees, and overage rates are shown in the dashboard at the time of subscription.
3.2 Subscription fees are charged in advance for the billing period; usage fees are charged in arrears based on metered usage recorded by Zvani.
3.3 You authorize us, or our payment processor, to charge your nominated payment method for all amounts due. Failure to pay may result in suspension of premium features, throttling, or termination.
3.4 All fees are exclusive of taxes. Taxes (GST, VAT, sales tax, etc.) may apply depending on your billing location.
3.5 Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. Cancellation takes effect at the end of the current cycle; fees already paid are non-refundable except as set out in our Refund Policy.
3.6 Bundled minutes, conversations, or message allowances expire at the end of the billing period unless your plan explicitly states otherwise.
4. Customer Responsibilities
Because Zvani sends and receives voice calls and messages on your behalf, you are responsible for:
- Legal compliance: obeying all laws and regulations that apply to your communications, including but not limited to TCPA, TRAI / DLT (India), CAN-SPAM, GDPR, ePrivacy, CCPA / CPRA, and country-specific call-recording, telemarketing, and data-protection rules.
- End-user consent: obtaining and maintaining all consents required to call, message, or record the people you contact through Zvani, including any prior express written consent for marketing or automated calls.
- Disclosure of AI: clearly disclosing to end users that they are interacting with an AI agent where required by law.
- Honoring opt-outs: processing opt-out, do-not-call, and STOP requests promptly.
- Content accuracy: the accuracy, lawfulness, and appropriateness of prompts, knowledge-base content, templates, scripts, and outbound messages your agents use.
- Caller identification: correctly registering caller IDs (CNAM, 10DLC, sender IDs) with the relevant carriers and regulators.
You agree to indemnify Zvani against claims arising from your failure to comply with these responsibilities.
5. Use of AI Voice Agents
5.1 Zvani agents use large-language and speech models. Outputs may be unpredictable, may contain errors, and may not always match prompts or expectations. You must review and test agent behavior before deploying it to production traffic.
5.2 Zvani agents are not a substitute for professional advice (legal, medical, financial, tax) and must not be deployed for any safety-critical, life-supporting, or emergency-response use case (such as 911 / emergency triage).
5.3 You must not configure agents to impersonate a specific real person, deceive end users about who they are talking to, or generate content that violates Section 7.
6. Data and Privacy
6.1 Zvani processes data about your organization (account, billing, audit logs) and Customer Data you direct us to process (call recordings, transcripts, message bodies, contact lists, integration tokens). Our handling of this data is described in our Privacy Policy.
6.2 As between you and Zvani, you own Customer Data. You grant Zvani a limited licence to host, transmit, transform, and analyze Customer Data solely to provide the Service, prevent abuse, and meet legal obligations.
6.3 Zvani takes industry-standard measures to safeguard data, including encryption at rest and in transit, scoped access controls, and audit logging. No online service can guarantee absolute security.
6.4 On request, Zvani will execute a Data Processing Addendum (DPA) for customers subject to GDPR, UK-GDPR, or CCPA.
7. Acceptable Use Restrictions
7.1 You agree not to use Zvani to:
- Send unsolicited communications, spam, or any communication prohibited by anti-spam, telemarketing, or do-not-call rules.
- Impersonate any person or entity, or misrepresent your affiliation.
- Generate or transmit content that is illegal, harassing, defamatory, hateful, sexually explicit involving minors, or that infringes intellectual-property rights.
- Engage in fraud, phishing, smishing, vishing, or social engineering against end users.
- Reverse engineer, scrape, tamper with, or attempt to bypass rate limits, security controls, or abuse-prevention systems.
- Resell, sublicense, or repackage the Service as your own white-label product without a written agreement with Zvani.
- Use the Service in ways that violate third-party terms (Twilio Acceptable Use, Meta WhatsApp Business Policy, etc.).
7.2 Zvani may remove content, throttle traffic, or restrict access without prior notice if these rules are violated, and may report abusive activity to carriers, regulators, or law enforcement.
8. Service Availability
Zvani targets high availability but does not guarantee uninterrupted service. Planned maintenance, third-party outages (carriers, model providers), and force-majeure events may cause downtime. Where a written Service Level Agreement applies to your account, that SLA controls.
9. Liability
Zvani is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Zvani’s aggregate liability under these Terms is limited to the fees paid by you to Zvani in the twelve (12) months preceding the event giving rise to the claim. Zvani is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility.
10. Termination
Either party may terminate the Service for convenience by cancelling the subscription. Zvani may suspend or terminate immediately for breach of these Terms, non-payment, or risk to the platform. On termination, you remain liable for fees accrued; Customer Data may be deleted in accordance with our retention schedule.
11. Changes to Terms
Zvani may update these Terms from time to time. Material changes will be communicated through the dashboard or by email at least 14 days in advance. Continued use of Zvani after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of India. Any dispute will be resolved in the courts located in Mumbai, Maharashtra, unless a separate written agreement specifies a different forum.
